TERMS & CONDITIONS

These Terms and Conditions ("Terms") govern your use of the Piqazo website (thepiqazo.com) and the services provided by Piqazo ("we", "us", or "our"). By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.

1. Definitions

  • “Client” or “You” refers to any individual or business engaging Piqazo’s services.
  • “Services” refers to all digital services offered by Piqazo, including but not limited to web development, SEO, hosting management, IT consulting, and related offerings.
  • “Agreement” refers to the contract formed when you accept a proposal or purchase services from Piqazo.

2. Services & Scope

Piqazo provides digital services as outlined in individual project proposals, service agreements, or package descriptions. The specific scope, deliverables, timelines, and pricing for each project will be confirmed in writing before work begins.

We reserve the right to refuse service to any client for any reason, including but not limited to illegal activities, unethical requests, or non-payment.

3. Payment Terms

3.1 Pricing

All pricing is provided in writing via proposals, invoices, or service agreements. Prices are subject to change for future projects but will not be altered for work already agreed upon without mutual consent.

3.2 Payment Schedule
  • For project-based work: 50% deposit required upfront, with the remaining 50% due upon project completion.
  • For recurring services (maintenance, hosting, SEO): billed monthly or annually in advance.
  • For hourly consulting: invoiced upon completion of work or at agreed milestones.
3.3 Late Payments

Invoices are due within 7 days of issuance unless otherwise specified. Late payments may incur a 5% monthly late fee and may result in suspension of services until payment is received.

3.4 Refunds

Deposits are non-refundable once work has commenced. If you cancel a project after work has started, you will be charged for work completed up to the cancellation date. Refunds for ongoing service subscriptions are handled on a case-by-case basis.

4. Client Responsibilities

To ensure timely and successful project completion, clients agree to:

  • Provide accurate information, content, and materials in a timely manner.
  • Grant necessary access to hosting accounts, domain registrars, and third-party platforms as required.
  • Respond to requests for feedback or approval within agreed timeframes.
  • Ensure all content provided (text, images, logos) is owned by you or properly licensed for use.

Delays caused by client inaction may result in project timeline extensions without penalty to Piqazo.

5. Intellectual Property

5.1 Ownership of Deliverables

Upon full payment, all custom work created specifically for you (website design, code, content written by Piqazo) becomes your property. However, Piqazo retains the right to use general methodologies, tools, frameworks, and processes developed independently.

5.2 Third-Party Assets

Websites may include third-party components (themes, plugins, stock images, fonts) which are licensed, not owned. You agree to comply with the licensing terms of any third-party assets used in your project.

5.3 Portfolio Use

Piqazo reserves the right to display completed work in our portfolio, case studies, and marketing materials unless you explicitly request confidentiality in writing.

6. Warranties & Disclaimers

6.1 Service Warranty

We warrant that all services will be performed professionally and in accordance with industry standards. For website development, we provide a 30-day warranty for bug fixes and issues directly caused by our work (excluding third-party plugin updates or hosting issues outside our control).

6.2 No Guarantees

While we strive for the best results, we do not guarantee:

  • Specific search engine rankings or traffic levels from SEO services.
  • Conversion rates or sales results from website design or marketing campaigns.
  • 100% uptime for hosting services (though we aim for 99.9%+).
6.3 Limitation of Liability

Piqazo’s total liability for any claim arising from services provided shall not exceed the total amount paid by you for those specific services. We are not liable for indirect, incidental, or consequential damages, including lost profits or business interruption.

7. Website Hosting & Maintenance

7.1 Hosting Services

If we manage your hosting, we will configure and maintain your server environment through trusted third-party providers. You acknowledge that hosting uptime and performance depend partly on external providers beyond our direct control.

7.2 Backups

For clients on maintenance plans, we perform regular backups. However, it is your responsibility to maintain independent backups of critical data. We are not liable for data loss caused by server failures, hacking, or force majeure events.

7.3 Security

We implement industry-standard security measures, but no website is 100% secure. You agree that Piqazo is not liable for security breaches, hacking, or data loss unless caused by gross negligence on our part.

8. Termination

8.1 Termination by Client

You may terminate ongoing services (maintenance, SEO, etc.) with 30 days’ written notice. Any prepaid fees for future months will be refunded on a pro-rata basis.

8.2 Termination by Piqazo

We reserve the right to terminate services immediately if:

  • Payment is overdue by more than 14 days.
  • You breach these Terms or engage in abusive, harassing, or illegal behavior.
  • Your website is used for illegal activities or violates applicable laws.

9. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. This includes business strategies, technical details, passwords, and client data. Confidentiality obligations survive termination of services.

10. Third-Party Services

Our services may involve third-party platforms (hosting providers, payment processors, analytics tools, etc.). You agree to comply with the terms and policies of those third parties. Piqazo is not responsible for third-party service outages, policy changes, or fees.

11. Force Majeure

Piqazo is not liable for delays or failures in performance caused by events beyond our reasonable control, including but not limited to natural disasters, pandemics, government actions, internet outages, or third-party service failures.

12. Amendments

We reserve the right to update these Terms at any time. Changes will be posted on this page with an updated “Last Modified” date. Continued use of our services after changes constitutes acceptance of the new Terms.

13. Governing Law & Disputes

These Terms are governed by the laws of Sri Lanka. Any disputes arising from these Terms or our services shall be resolved through good-faith negotiation. If negotiation fails, disputes may be submitted to binding arbitration or the appropriate courts in Sri Lanka.
